Automatic Renewal Member Service Agreement

1 Acceptance and modification of service terms

• 1.1 This Agreement is an agreement between QS Scanner Members (hereinafter referred to as "Members") and QS Scanner regarding the use of the automatic renewal commission deduction service provided by QS Scanner by Members (hereinafter referred to as "Services"). This Agreement describes the rights and obligations of QS Scanner and Members regarding the use of this Service and related aspects. "Member" refers to a natural person who has completed all the procedures to become a QS Scanner member and uses the membership services provided by QS Scanner in compliance with the relevant usage rules of QS Scanner. This agreement constitutes a prerequisite for members to use the services provided by QS Scanner. QS Scanner has reminded members to read the relevant exemption or limitation clauses in the agreement in bold font or other reasonable ways. Both parties confirm that the aforementioned clauses do not belong to the provisions of Article 40 of the Contract Law on "exempting their responsibilities, increasing the other party's responsibilities, and excluding the other party's main rights". Both users and QS Scanner acknowledge their legality and validity. Unless the member accepts the terms of this agreement, the member has no right to use this service. The member's choice to use this service will be deemed to agree to be bound by the terms of this agreement.
• 1.2 QS Scanner has the right to modify the terms of service at any time. Once the terms of service are changed or modified, QS Scanner will make a public announcement on the relevant page, and the modified content will take effect and be executed 10 days after the announcement date; If the member disagrees with any modification of this agreement, the automatic renewal function can be cancelled; If the member continues to use it, it shall be deemed that the member has accepted all modifications to this agreement.
• 1.3 Members must possess corresponding rights and behavioral abilities when using this service, and be able to independently assume legal responsibilities. If a member is under the age of 18 and can only use this service under the supervision and participation of their parents or other guardians, their use of this service shall be deemed to have been recognized by their parents or other guardians.

2 Service Description

• 2.1 This service is launched to meet the needs of members for automatic renewal. On the premise that members have already activated this service, it is to avoid losses caused by negligence or other reasons that members fail to renew in a timely manner. Members authorize QS Scanner to entrust payment channels to deduct the fees for the next billing cycle from the member's own recharge account, third-party payment account bound to the member's account, bank card, communication account (hereinafter referred to as the "account") balance when the member's validity period is about to expire. The billing cycle includes but is not limited to monthly, quarterly, annual, etc. (the same below), and members can choose according to the billing cycle displayed on the QS Scanner platform. The prerequisite for implementing this service is that the member has linked their QS Scanner member account to the above account and can successfully deduct payments from their account.
• 2.2 Automatic renewal specifically refers to, based on the premise of 2.1, the deduction method for QS Scanner to collect fees from members for the next billing cycle through the above account. Members must ensure that QS Scanner can successfully deduct fees from the above account. If the renewal fails due to insufficient deduction balance in the above account, the member shall bear the responsibility on their own, and QS Scanner has the right to interrupt/terminate the corresponding membership rights and services.
• 2.3 If a member chooses to activate automatic renewal, it is deemed that they agree to authorize QS Scanner to issue a deduction instruction to the account, and agree that the account can deduct the next billing cycle fee from the account based on the deduction instruction issued by QS Scanner without verifying the member's account password, payment password, SMS verification code, and other information. Unless the member voluntarily and explicitly cancels the automatic renewal, the member's automatic deduction commission to QS Scanner is irrevocable. Unless otherwise provided by laws and regulations, QS Scanner shall not refund any fees paid by members in any way.
• 2.4 Members who enjoy this service shall be bound by the QS Scanner Privacy Policy, various terms and related sub agreements, page instructions or standardized processes. When a member uses this service, their use shall be deemed as their consent to the service terms and various notices issued by QS Scanner regarding this service. In case of any conflict between this agreement and other agreements of QS Scanner, this agreement shall prevail.
• 2.5 The services provided by QS Scanner to members are limited to their use on the QS Scanner platform. Any illegal means such as malicious cracking that separate the services provided by QS Scanner from the QS Scanner platform do not constitute the services stipulated in this agreement. All legal consequences arising from this shall be the responsibility of the perpetrator, and QS Scanner shall hold the perpetrator legally responsible in accordance with the law.

3 Rights and obligations of both parties

• 3.1 QS Scanner is responsible for providing members with specific information on automatic renewal fees, but is not responsible for printing relevant invoices and/or forwarding them to members.
• 3.2 QS Scanner will send automatic renewal reminders to members by SMS or other means before the expiration of their membership period. If the next billing cycle fee is deducted from the member's account mentioned above, the deducted amount will be recorded in the member's payment record on the day of deduction, and the membership period will be extended accordingly. Once the deduction is successful, QS Scanner has the right to collect the fee immediately and does not provide a refund service.
• 3.3 If there is an error during the deduction process, QS Scanner and members should closely cooperate to identify the cause and each bear the losses caused by their own fault; If losses are caused by the unequal fault of both parties, both parties shall bear corresponding responsibilities according to the degree of fault; If losses are caused by the joint fault of both parties but it is not possible to distinguish their respective faults, both parties shall share the responsibility equally.
• 3.4 QS Scanner may change or modify the relevant service content, rules, and terms of this agreement based on its business development or technological upgrades. QS Scanner will inform users of the relevant changes or modifications by publicizing them on QS Scanner's relevant pages or other appropriate locations, but is not obligated to make separate notifications. The above announcement shall be deemed delivered to the user from the date of sending by QS Scanner. If multiple notification methods coexist, the delivery time shall be based on the earliest sending time among the above methods. If the member disagrees with the modification of this agreement, they can cancel the service they have already obtained and stop using it; If the member continues to use the services provided by QS Scanner, it shall be deemed that the member has accepted all modifications to this agreement.
• 3.5 This service is at the discretion of the member to choose whether or not to cancel. If the member chooses not to cancel, it shall be deemed that the member agrees that QS Scanner has the right to continue to make periodic deduction attempts in accordance with certain rules. Once the deduction is successful, QS Scanner will activate the member service for the next billing cycle.
• 3.6 If there is an adjustment to the QS Scanner service price during or before the automatic renewal, the current effective price published on the QS Scanner platform shall prevail.
• 3.7 QS Scanner does not charge any additional transaction fees for members to activate this service. However, QS Scanner has the right to decide whether to charge or adjust the automatic renewal cycle and fees for this service based on business needs or market changes, and publicly disclose them to members on relevant pages.
• 3.8 If a member renews their membership during the validity period, the validity period will be extended on the basis of the original service validity period.
• 3.9 The member understands and agrees that the member's authorization of QS Scanner's withholding authority will be deemed as the member's own recharge behavior. If this causes any losses to the member themselves, the member will not claim any rights or hold any responsibility against QS Scanner and its affiliated companies.

4 Validity period and termination of the agreement

• 4.1 This agreement shall take effect from the date when the member chooses to accept or use this service, until the member terminates this service/cancels membership, unless otherwise announced by QS Scanner.
• 4.2 Members have the right to choose to terminate this service at any time in the member account settings. After terminating this service, QS Scanner will stop providing this service to members.
• 4.3 The instruction that a member has entrusted QS Scanner to automatically renew and deduct fees before choosing to terminate this service is still valid. QS Scanner will not refund the fees already deducted based on this instruction, and the member shall bear the relevant responsibilities and losses.
• 4.4 QS Scanner has the right to suspend or terminate this service based on its own business adjustments, price changes, and other reasons. Once such a situation occurs, QS Scanner will notify members through an announcement.

5 Liability for breach of contract

• 5.1 If one party breaches the contract, the non breaching party has the right to obtain compensation or compensation through the agreed upon breach resolution method.

6 Dispute resolution and legal application

• 6.1 QS Scanner and its members shall resolve any disputes arising from the performance of this agreement through friendly consultation. If the dispute cannot be resolved through consultation, either party has the right to submit the dispute to the Yuhuatai District People's Court in Nanjing for litigation resolution. The interpretation, validity, and execution of this agreement shall be governed by the laws of the People's Republic of China.
